Notice of Annual General Meeting of Squamish Windsports Society (the “Society”)

Notice of Special Business: Amendment of Bylaws regarding Schools
Rationale: Up until 2015, approval of Schools operating at the Spit was an informal process. The District of Squamish (“District”) would enter into a sub-sub-license with the Schools. In 2015, the District asked SWS to directly administer the process by considering applications by SWS members to operate a School. The District would prefer not to assume responsibility for approval of Schools as it has no operational knowledge of the criteria that would make a School acceptable for operations at the Spit. SWS’ Bylaws are silent on Schools operating at the Spit. Accordingly, SWS requires a Bylaw amendment at this year’s AGM to clarify the authority of the Directors SWS to approve Schools for operation at the Spit. The draft new Bylaw is as follows:
“Part 13: Schools
63. A Member who proposes to provide instruction in kiteboarding or windsurfing at the Spit (“School”) may make application to the Society for a Sub-License to operate a School (“School Sub-License”).
64. The timing and required content for an application to operate a School and the selection criteria for approving a School shall be determined by the Directors of the Society.
65. Upon request by a Member, the Society shall provide information on the required content of an application to operate a School and the selection criteria for approving School(s).
66. The Directors of the Society will have the authority to approve or deny a School Sub-License to any Member, School or proposed school for any reason, which approval may be arbitrarily or unreasonably withheld by the Directors of the Society.
67. The Directors of the Society will have the authority to limit the number of Schools operating at the Spit.
68. If approved by the Directors of the Society, each Member operating a School must enter into a School Sub-License agreement with the Society in a form which the Directors of the Society may approve from time to time.”
